Commercial law 

Commercial law includes the law governing simple partnerships and commercial companies such as public limited companies (SA), limited liability companies (SARL) and general partnerships (SNC). We also assist and advise our clients on the law governing associations and foundations, as well as collective investment schemes (investment funds, open- and closed-end investment companies - SICAVs; SICAFs).

Our services range from advice on day-to-day administrative management to assistance with certain procedures required when companies are set up or during their lifetime, such as domiciliation with our firm, drafting articles of association and deeds of foundation, preparing general meetings, adapting to changes in legislation and the course of business, drawing up commercial accounts, procedures to be carried out in connection with the commercial register, etc.

Contract law

Contract law includes the rules relating to the conclusion, interpretation, nullity, violation and invalidation of all types of contracts, whether or not defined by the Code of Obligations, such as employment contracts, rental leases, agency and company contracts (including legal mortgages for artisans and entrepreneurs), contracts for the sale and transfer of companies (sale of shares), as well as distribution contracts and disputes relating to insurance contracts. 

In this context, DGM assists and advises its clients during pre-contractual negotiations, when drafting contracts or during their performance, as well as in any related legal proceedings, before the ordinary civil courts, the courts specialising in leases and rent law or employment law, or arbitration tribunals.
